Terms of Service

These terms govern the managed services, projects and professional services CompBrix provides. A signed statement of work or service agreement takes precedence where the two differ.

Services and scope

CompBrix provides the services described in the applicable quote or statement of work. Anything not listed there is out of scope and quoted separately before work begins. Device and seat counts stated at signing form the basis of recurring fees, and adjust at the agreed per-unit rate as your environment changes.

Fees and payment

Recurring fees are invoiced monthly in advance; project and hourly work is invoiced on completion or monthly in arrears. Standard payment terms are Net 15 from the invoice date. Balances unpaid after the due date accrue a late fee of 1.5% per month plus reasonable collection costs.

Client responsibilities

You agree to provide timely access to systems and premises, administrative credentials held in the agreed vault, and a named point of contact empowered to approve changes and accept deliverables. Delays caused by access issues do not count against our response commitments.

Service levels

Response and resolution targets are published per priority level and measured during covered hours. Targets are commitments to respond, not guarantees of a fix time for faults caused by third-party vendors, end-of-life systems, or circumstances outside our control.

Confidentiality and data

Each party protects the other’s confidential information with the care it applies to its own. We process client data only to deliver the services, retain it no longer than the agreement requires, and return or destroy it on termination at your written direction.

Term and termination

Agreements run month-to-month unless a committed term is stated. Either party may terminate for material breach on 30 days’ written notice if the breach is uncured. Where a discounted committed term applies, early termination for convenience requires 90 days’ notice with fees due through the notice period.

Limitation of liability

Neither party is liable for indirect, incidental or consequential damages. Our aggregate liability is limited to the fees paid in the three months preceding the claim, except for gross negligence, wilful misconduct, or breach of confidentiality obligations.
